About this version. This is our current Terms of Service. We may update it over time, including after the formal legal review now underway. If we make material changes, we will post the updated Terms here, update the date above, and ask you to review and accept them before you keep using the Services. For minor updates, continued use of the Services means you accept them. See Section 18, Changes to these Terms.

CARL and Compass are operated by CARL Hub Inc., a Canadian corporation incorporated in British Columbia and federally registered in Canada.
Teachers, educators, tutors, homeschool educators, and school/district staff. There are no student accounts, and students don’t log in.
unless your institution has explicitly approved that use. CARL and Compass are not designed to collect student records, grades, IEPs, or health information.
You keep ownership of what you create and upload. You give us a limited licence only to operate the Services for you.
AI outputs are drafts and suggestions for you to review, edit, accept, or reject. You remain responsible for what you use with learners.
with separate accounts. You can optionally link them; linking is opt-in and user-directed.
They support your professional judgment; they don’t replace it, and they aren’t professional, legal, medical, counselling, accessibility-compliance, or cultural advice.
1. Acceptance of these Terms
By creating an account for, accessing, or using CARL or Compass (together, the “Services”), you agree to these Terms of Service (the “Terms”). If you are using the Services on behalf of a school, district, or other organization, you confirm you are authorized to accept these Terms on its behalf.
If you do not agree to these Terms, do not use the Services.
2. Who we are
The Services are operated by CARL Hub Inc. (“CARL Hub,” “we,” “us,” or “our”), a Canadian corporation incorporated in the Province of British Columbia and federally registered in Canada, based in Kelowna, British Columbia.
These Terms apply to both CARL and Compass. Where a section applies to only one product, it says so.
3. About CARL and Compass
- CARL (Collaborative Academic Resource Library) is a teacher-led, AI-supported lesson-planning and resource platform. It helps educators create, upload, adapt, remix, contribute to, organize, and share lesson materials.
- Compass is a curriculum coverage, planning, and reporting platform. It helps educators track what has been taught, planned, or still needs attention.
CARL and Compass are designed to work together but have different user flows, feature sets, and data flows. They are separate products with separate accounts and sign-ins.
4. Who can use the Services
Eligibility. The Services are intended for teachers, educators, education organizations, tutors, homeschool educators, and school/district staff. You must be of legal age to enter a contract in your jurisdiction (generally the age of majority) to hold an account.
No student accounts. Neither CARL nor Compass offers student accounts, and students do not log into either platform. Educators may use materials generated or supported by the Services with learners outside the platform.
Student information. You agree not to enter identifiable student information (such as names, student records, grades, IEP or accommodation details, health information, or parent contact information) unless your institution has explicitly approved that use and has a lawful basis for it. The Services are not designed to collect or store identifiable student personal information as part of the launch model.
Institutional and district use. Schools, districts, and organizations may use the Services through educator/admin accounts and, in Compass, through shared workspaces. Where an institution requires a Data Processing Agreement or similar arrangement, contact us at team@hicarl.ai; formal data-processing terms for districts are being prepared.
5. Your account
- Account security. You are responsible for keeping your login credentials secure and for activity under your account. Notify us at team@hicarl.ai if you suspect unauthorized access.
- One account per person. Accounts are for a single, identified person. Compass workspaces may include multiple educator/admin members with different roles.
- Workspace roles (Compass). Compass may support workspace roles, admin controls, owner transfers, and offboarding. Admins are responsible for managing membership, invitations, and seat assignments within their workspace and for ensuring their use complies with applicable agreements and laws.
- No transfer. You may not sell, share, or transfer your account to someone else without our written consent.
6. Acceptable use
You agree to use the Services lawfully, professionally, and only for legitimate educational purposes; respect the rights of others; and confirm you have the right to upload or use any material you provide.
You agree NOT to:
- Enter identifiable student personal information except as permitted in Section 4;
- Upload, generate, or share content that is unlawful, infringing, harassing, hateful, harmful, or that you do not have the right to use;
- Attempt to identify individuals from anonymized or class-level data;
- Misuse, reverse-engineer, scrape, overload, or interfere with the Services or their security;
- Use the Services to build a competing product, or to train external AI models on our content without permission;
- Misrepresent AI-generated content as professionally verified, certified, or compliance-approved when it has not been reviewed.
Reporting and enforcement. Shared resources include report controls. Reported content is reviewed and moderated by the CARL Hub team. We may remove content, or suspend or terminate accounts, for violations of these Terms. To report a concern, use the in-product report controls or contact team@hicarl.ai.
7. Your content and ownership
- Your content, your ownership. You retain ownership of the lessons, resources, plans, uploads, and other materials you create or provide (“Your Content”).
- Licence you grant us. You grant CARL Hub a limited, non-exclusive licence to host, store, process, display, and transmit Your Content only as needed to operate and provide the Services to you (including AI processing you request and sharing you choose to enable). For content you keep private, this licence ends when you delete the content or close your account, except for residual backup copies or as required by law. Content you choose to publish publicly or contribute to the CARL community library is designed to persist (see Section 9).
- Our intellectual property. The Services themselves (software, design, branding, and the CARL and Compass names and logos) belong to CARL Hub or its licensors. These Terms don’t give you rights to them beyond using the Services.
- Respecting others’ rights. Only upload or share material you have the right to use. Curriculum links and sources are attributed to their provincial or curriculum source where applicable. To report content you believe infringes your rights, contact team@hicarl.ai.
8. Uploads and source materials
You may upload lessons, resources, plans, or curriculum materials for processing.
- You confirm you are allowed to upload and use the material and that it does not include student-identifying information (except as permitted under Section 4).
- Temporary processing. Uploaded source files are scanned to extract planning details and are then deleted promptly after processing, generally within minutes. We do not keep the full original uploaded file or its full text as your ongoing record. See the Privacy Policy for more on retention.
9. Sharing, remixing, and workspace visibility
CARL: sharing, remixing, contributing.
- Content is private by default. You choose whether a resource stays private, is unlisted, is shared with specific users, is shared with a school/district, or is made public.
- Remixing (small contextual or instructional edits to an existing resource, preserving credit and version history) is allowed only when the original author has enabled it.
- Contributing means adding an add-on (such as an alternate assessment, related activity, different format, or extra rubric) to an existing resource.
- CARL may track original authors, remixers, contributors, dates, edits, linked components, and where AI assistance was used, to preserve credit and version history.
- Shared content is persistent. Sharing and publishing are deliberate, opt-in choices, and content is private by default. Once you publish a resource publicly or contribute it to the CARL community, it is designed to remain available to others who have saved, remixed, or built on it, even if you later stop using CARL, so their saved work doesn’t disappear. You can delete content you keep private, but publicly shared resources are not removable on demand. Because CARL keeps version history, your author credit stays attached to resources you shared, including after you close your account.
- Licence for shared content. When you choose to make a resource unlisted, shared, or public, you grant CARL Hub and other users a worldwide, non-exclusive, royalty-free licence to access, view, save, use, adapt, and remix that resource within the Services, and to keep using copies they have already saved or remixed. You keep ownership of your original content; this licence simply lets the community-sharing, remix, and version-history features work, and it continues for copies others have already made even if you later stop sharing the original.
Compass: class and workspace sharing.
- Users can share view-only or, within a district workspace, full or view-only access to another teacher. Class share links do not expire by default but can be revoked at any time.
- District admins may see workspace content according to their role and any applicable agreement, and cannot currently control individual sharing defaults. Connecting a CARL account to a Compass account is a personal choice made by the individual teacher (each teacher links their own accounts), so it is managed by the user, not enabled or disabled at the admin level.
10. AI-assisted features and generated content
- AI is a support tool, not the final decision-maker. AI-generated or AI-assisted outputs (content, images, tags, curriculum suggestions, matches, coverage suggestions, enhancements) are drafts, suggestions, or starting points for educator review.
- You’re in control. You can edit, accept, reject, or delete AI outputs before using them. Coverage and curriculum status are not logged without teacher review and final say.
- Accuracy and limits. AI outputs may contain inaccuracies, omissions, stereotypes, or unexpected or culturally sensitive content. You are responsible for reviewing outputs before using them with learners.
- Not professional advice. Lesson enhancements and supports (including UDL & DI, equity and inclusion, SEL, student voice, trauma-informed, and accessibility-related suggestions) are instructional planning suggestions only. They do not replace teacher judgment, school/district policy, accessibility review, counselling or mental-health support, cultural consultation, or professional obligations, and they are not therapy, crisis support, medical advice, or accessibility-compliance guarantees.
- Indigenous Resource Pathways. Where offered, this is a teacher-facing tool that points to allowlisted Indigenous education resources and source pathways. It does not generate, interpret, or verify Indigenous knowledge, protocols, ceremonies, sacred teachings, Nations, communities, or community-specific perspectives, and returns no connection when an authentic pathway is unavailable.
- AI-generated images. Optional image generation is for lesson visuals and resources. The inclusion option encourages broader representation but does not guarantee diversity, equity, cultural accuracy, or bias-free outputs. Do not upload or generate student-identifiable images or likenesses.
- Family-facing ELL resources. Vocabulary, translations (up to five home languages), and family supports are generated at the class/resource level and are not tied to named students.
11. CARL ↔ Compass integration
CARL and Compass are separate products with separate accounts. You may choose to link them.
- Linking is opt-in and user-directed. When linked, the products may exchange information through a secure server-to-server connection, for example account-link details, linked identity/email, lessons or units sent between products, curriculum match status, plan status, and subscription/entitlement status.
- Syncing only happens when you choose to link accounts or send/import content. Linked accounts use separate product-specific IDs.
- Unlinking severs the connection but otherwise leaves the separate accounts and their data unchanged.
12. District and institutional workspaces (Compass)
- Compass may support school or district workspaces with membership, staff roster imports, invitations, domain settings, roles, admin controls, and offboarding. Roster imports are staff-only and handled by the admin.
- Institutions are responsible for their own lawful basis, internal policies, and any notices required for their staff’s use of the workspace.

13. Subscriptions, paid features, and billing
- Some features are free; others are paid (for example, Compass paid plans and certain advanced scanning, planning, and report features, and certain CARL features).
- Paid plans are billed monthly and renew automatically each month until cancelled. Pricing, seat counts, and billing contacts are presented at purchase, and subscription, seat, and billing details are processed to administer your plan.
- Cancellation. You may cancel at any time. We require one month’s notice to cancel: your plan remains active and billable through that final month, after which it ends. Except where required by applicable law, monthly fees already paid are non-refundable.
- Payments are handled by Stripe, our third-party payment processor, under Stripe’s own terms and privacy policy.
14. Disclaimers
In plain terms: CARL and Compass are tools that support your work; they don’t come with guarantees, and you should always apply your own professional judgment before using anything with learners.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT CONTENT (INCLUDING AI OUTPUTS AND CURRICULUM MATCHES) IS ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR USE.
CARL and Compass support, and do not replace, your professional judgment. They are not professional, legal, medical, counselling, accessibility-compliance, district-certified-compliance, or cultural advice. Compass is a curriculum planning and tracking support, not a compliance guarantee.
15. Limitation of liability
In plain terms: if something goes wrong, there’s a limit on how much we can be held financially responsible for. This doesn’t take away any rights you have under the law.
To the maximum extent permitted by law, CARL Hub and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services.
To the maximum extent permitted by law, CARL Hub’s total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid CARL Hub for the Services in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
In plain terms: if you break these Terms or misuse the Services and that causes a claim against us, you agree to cover the reasonable costs.
To the extent permitted by law, you agree to indemnify and hold harmless CARL Hub from claims, damages, and reasonable expenses arising out of your breach of these Terms, your misuse of the Services, your content, or your violation of any law or third-party right, including any entry of student-identifying information in violation of Section 4.
17. Termination and changes to the Services
- By you. You may stop using the Services and delete your account at any time.
- By us. We may suspend or terminate access for breach of these Terms, for unlawful or harmful use, or where required by law, with notice where reasonable.
- Changes to the Services. The Services are actively developed. We may add, change, suspend, or discontinue features, or the Services as a whole, at any time, giving reasonable notice of material changes where we can. We aren’t liable for any change to or discontinuation of a feature.
- Effect. On termination, your right to use the Services ends. We will handle your data as described in the Privacy Policy. Where feasible, you may export your content before termination. Note that publicly shared CARL content is designed to persist (see Section 9).
18. Changes to these Terms
We may update these Terms from time to time, including following the formal legal review now in progress.
- Minor changes: we will update the “Last updated” date and may post a notice.
- Material changes: we will post the updated Terms, update the date, and ask you to review and accept them (for example through an in-app notice or email) before you continue using the Services.
- Continued use after non-material updates means you accept them. We keep prior versions so you can see what changed.
19. Governing law and dispute resolution
In plain terms: these Terms follow the law of British Columbia, Canada. If there’s a problem, please talk to us first; most things can be sorted out without going to court.
- Governing law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
- Informal resolution first. Before starting a formal proceeding, please contact us at team@hicarl.ai so we can try to resolve the issue informally.
- Courts. Subject to applicable law, the courts located in British Columbia, Canada have jurisdiction over disputes relating to these Terms.
20. General provisions
- Entire agreement. These Terms (with the Privacy Policy and any plan- or district-specific terms) are the entire agreement between you and CARL Hub regarding the Services.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect. Not enforcing a provision isn’t a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor (for example, in a reorganization).
- Force majeure. We aren’t liable for delays or failures caused by events beyond our reasonable control.

1. Our commitment to educators
CARL and Compass are designed around educators. The launch model does not include student accounts, and the Services are not intended to collect student records, grades, IEP or accommodation details, health information, parent contact information, or other identifiable student personal information.
Where teachers provide class-level context to improve suggestions, it is intended to be class-level information only, not tied to identifiable individual students (for example grade, subject, class size, general learning supports, reading level, English-language literacy level, tech access). We do not ask teachers to enter the number of students with specific needs, and we guide users not to enter student names or identifiable details.
2. Scope and who is responsible
This Policy applies to both CARL and Compass, operated by CARL Hub Inc. (“CARL Hub,” “we,” “us,” “our”), the organization responsible for personal information processed through the Services. CARL and Compass are separate products with separate accounts; where a practice applies to only one, we say so.
3. Information we collect
Information you provide:
- Account details: name, email, password, and (for Compass) workspace role and organization details.
- Content you create or upload: lessons, resources, plans, prompts, curriculum selections, grade/subject information, and uploaded source files or pasted text.
- Class-level context (CARL): class-level information you choose to provide to improve suggestions, not tied to identifiable individual students (see Section 1). Structured selections with limited free-text fields.
- Workspace and administrative information (Compass): workspace membership, staff roster imports (staff-only, handled by the admin), invitations, domain settings, organization branding, support sessions, purchase order details, billing contacts, and subscription/seat metadata.
- Communications: messages you send us (for example support requests) and form submissions.
Information we collect automatically:
- Basic technical and usage information needed to run and secure the Services (such as device/browser information, log data, and general usage events).
- Analytics on our public launch/marketing pages. We do not use Microsoft Clarity, and analytics tools are disabled inside logged-in education workspaces. We do not use session-replay or heatmap tools inside the app.
Information we don’t intend to collect:
- Identifiable student personal information. If a teacher enters such information against our guidance, the institution remains responsible for that use; we still handle it under this Policy and apply our security and retention practices.
4. How we use your information
We use personal information to:
- Provide and improve the Services: operate accounts and workspaces, generate and process the content and features you request, run curriculum matching and scanning, and maintain reliability.
- Communicate with you: respond to requests, send service and security notices, and (where permitted) send updates you’ve opted into.
- Secure and protect the Services: prevent abuse, enforce our Terms, moderate reported content, and meet legal obligations.
5. Legal bases for processing (PIPEDA and provincial law)
We rely on your consent, on the need to process information to provide the Services you’ve asked for, and on our legal obligations. Under Canadian law we rely on consent and the other bases permitted by PIPEDA and applicable provincial privacy laws (such as BC PIPA, Alberta PIPA, and Quebec’s Law 25).
6. AI processing and your content
- How AI uses your content. When you use an AI-assisted feature, your prompt and the relevant content are processed to generate the draft, suggestion, match, or image you asked for. AI outputs are drafts for your review (see the Terms, Section 10).
- Training. We do not use your content to train external or public AI models, and the AI providers we use do not use your content to train their models. AI processing happens only to deliver the feature you requested.
- No solely-automated decisions. We don’t make decisions with legal or similarly significant effects about you based solely on automated processing. AI features produce drafts and suggestions that are always subject to educator review.
- AI providers. AI features rely on third-party AI model providers acting as our service providers/sub-processors (see Section 7). They process content only to deliver the feature and under contractual confidentiality and security obligations.
7. Service providers and sub-processors
We use a limited set of trusted service providers (sub-processors) to operate the Services, for example AI model provider(s), application and website hosting, email and customer-relationship management (CRM), and public-page analytics. They may process personal information only to provide services to us, under confidentiality and security obligations, and not for their own purposes.
A current list of our key sub-processors is available on request at team@hicarl.ai, and we update it when sub-processors change.
9. CARL ↔ Compass data sharing
CARL and Compass are separate products with separate accounts and separate product-specific IDs. If you choose to link them, a secure server-to-server connection may exchange account-link details, linked identity/email, lessons/units you send between products, curriculum match status, plan status, and subscription/entitlement status. Linking and sending are opt-in and user-directed; connecting CARL and Compass is a personal choice each teacher makes for their own accounts, not something set or required at the school/district level. There is no intended student-identifying information to sync, because student accounts/data are not part of the current launch model. Unlinking severs the connection without otherwise changing your separate accounts or data.
10. How long we keep your data
- Account and workspace data: kept while your account/workspace is active and for a reasonable period afterward, then deleted or anonymized, except where we must retain it for legal, security, or compliance reasons.
- Public/shared CARL content: resources you chose to make public or contribute to the CARL community library are designed to remain available to others (keeping their attribution and version history) even after you close your account, so others’ saved copies aren’t broken. See Terms, Section 9.
- Technical logs and public-page analytics: kept only as long as needed for security, troubleshooting, and understanding general usage, then deleted or aggregated.
- Uploads and scans: uploaded source files (and pasted text) are used only to extract planning details and are then deleted promptly after processing, generally within minutes. We do not keep your full uploaded file or full extracted text as your ongoing record. (Short-lived processing or error logs may persist briefly for reliability, then age out.)
- Reports (Compass): generated for download and not stored in the app as ongoing report files.
- After deletion: residual copies may persist briefly in backups and are then overwritten on our normal cycle.
11. How we protect your data
We use technical and organizational safeguards appropriate to the sensitivity of the information, including access controls, encryption in transit (HTTPS/TLS) and at rest, and limiting staff access to what’s needed. No system is perfectly secure, so we can’t guarantee absolute security. If a breach affecting your personal information occurs, we will notify affected users and regulators as required by applicable law. Report security concerns to team@hicarl.ai.
12. Cookies, analytics, and tracking
- We use cookies and similar technologies needed to run and secure the Services, and optional analytics on our public pages.
- We do not use Microsoft Clarity, session replay, or heatmap tools inside the app, and analytics are disabled inside logged-in education workspaces.
- You can manage cookies through your browser.
13. Your privacy rights
Subject to applicable law, you may:
- Access the personal information we hold about you;
- Correct inaccurate information;
- Delete your account and associated personal information (note: resources you chose to make public or contribute to the CARL community library are designed to remain available afterward; see Section 10 and Terms, Section 9);
- Manage communication preferences; and
- exercise other rights available under your local law (see Sections 14–15).
To exercise your rights, contact team@hicarl.ai. We may need to verify your identity and will respond within the timeframes required by law.
14. Canadian privacy rights
- PIPEDA. You have rights of access, correction, and accountability under Canada’s Personal Information Protection and Electronic Documents Act.
- Provincial laws. Depending on where you are, BC PIPA, Alberta PIPA, or Quebec’s Law 25 may also apply and may give you additional rights (for example, additional transparency, consent, and data-portability protections under Law 25).
- FOIPPA / school boards. Where you use the Services as part of a public school board or institution, public-sector access and privacy laws (such as FOIPPA in BC) and your institution’s agreements may also apply.
- Accountability. Our Privacy Officer, Courtnay, is responsible for our compliance and can be reached at team@hicarl.ai.
15. International users and data residency
CARL Hub is based in Kelowna, British Columbia, Canada, and your account and content data is hosted in Canada. Some of our service providers (for example AI model providers and email/CRM) may process limited information in other countries, including the United States, with safeguards appropriate to the transfer. By using the Services, you understand your information may be processed outside your province or country as described here.
16. Children and students
The Services are for educators and do not offer student accounts. They are not directed to children, and students do not log in. We do not knowingly collect personal information directly from children through the Services. Educators must not enter identifiable student information except as permitted in the Terms (Section 4). If you believe a student’s personal information was provided to us in error, contact team@hicarl.ai so we can address it.
17. Third-party services and links
The Services may link to or integrate with third-party resources (for example curriculum source webpages, or sign-in providers such as Google or school/district SSO for Compass). Those third parties have their own privacy practices, which we don’t control.
18. Changes to this Policy
We may update this Policy from time to time, including following the formal legal review now in progress.
- Minor changes: we update the “Last updated” date and may post a notice.
- Material changes: we post the updated Policy, update the date, and notify you (for example by in-app notice or email), and, where the change is tied to updated Terms, ask you to review and accept the updated documents.
